1 Acceptance of Terms

By accessing or using the website located at www.nexthealthcaresolutions.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, users, and others who access or use the Site. They are entered into between you and NEXT Healthcare Solutions, LLC ("NEXT," "we," "us," or "our"), a Florida limited liability company headquartered at 3535 Little Rd., Trinity, FL 34655.

Our Privacy Policy, available at privacy-policy.html, is incorporated into these Terms by reference. By using the Site, you also accept our Privacy Policy.

2 Not Medical or Clinical Advice

NEXT Healthcare Solutions is a healthcare management organization. The information on this Site describes our ACO programs, value-based care services, and enrollment processes for physician practices. It is not intended as, and should not be used as, a substitute for professional medical advice, diagnosis, or treatment for any patient or clinical situation.

Physician practices and healthcare professionals should independently evaluate all program options and consult appropriate legal, compliance, and clinical advisors before making enrollment decisions. NEXT advisors provide program guidance — not legal, tax, or clinical advice.

3 Not a HIPAA-Covered Communication

The forms and communication channels on this Site (including contact forms, enrollment inquiry forms, and Calendly scheduling) are used for business inquiries only and are not secure HIPAA-compliant channels for transmitting Protected Health Information (PHI).

Do not submit any patient PHI through this Site, including but not limited to patient names, dates of birth, social security numbers, medical record numbers, diagnoses, treatment information, or insurance information.

HIPAA-compliant communications for operational ACO activities are conducted through separate, secured systems under executed Business Associate Agreements (BAAs) between NEXT and its member practices.

4 Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, icons, images, page layouts, data compilations, and software — is the property of NEXT Healthcare Solutions, LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may access and use the Site for your personal, non-commercial information purposes. You may not:

• Reproduce, republish, distribute, or publicly display any content from the Site without our prior written consent
• Modify, adapt, translate, or create derivative works from Site content
• Use any NEXT trademarks, logos, or service marks without prior written permission
• Scrape, crawl, or use automated tools to extract content from the Site for competitive or commercial purposes

The NEXT Healthcare Solutions name, logo, and "West Florida ACO," "Central Florida ACO," and "Space Coast ACO" names are trademarks of NEXT Healthcare Solutions, LLC. All rights reserved.

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law or regulation
• Submit false, misleading, or fraudulent information through any form on the Site
• Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site
• Interfere with or disrupt the integrity or performance of the Site
• Use the Site to transmit unsolicited commercial communications
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harvest or collect email addresses or other contact information of other users from the Site

The Site may contain links to third-party websites or embed third-party services (including HubSpot forms, Calendly scheduling, Google Maps, and LinkedIn). These links and integrations are provided for convenience and do not imply endorsement of the linked site or service.

NEXT has no control over and assumes no responsibility for the content, privacy policies, or practices of third-party sites or services. Your use of third-party services embedded in or linked from the Site is governed by their respective terms and privacy policies.

The three ACO websites (westfloridaaco.com, centralflaaco.com, spacecoastaco.com) are operated by affiliated entities and are subject to their own terms of use.

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NEXT does not warrant that:

• The Site will be uninterrupted, error-free, or free of viruses or other harmful components
• The results obtained from using the Site will be accurate or reliable
• The quality of information, services, or other material on the Site will meet your expectations
• Program eligibility, savings estimates, or enrollment timelines described on the Site are guaranteed for any particular practice

Information about CMS programs, ACO enrollment deadlines, and value-based care models is subject to change based on CMS rulemaking. While we strive to keep content current, NEXT makes no representation that information on the Site is complete, accurate, or up to date at any given time. Confirm all program details directly with CMS or a qualified compliance advisor.

8 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXT HEALTHCARE SOLUTIONS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall NEXT's total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed one hundred dollars ($100.00).

• Your violation of any third-party right, including without limitation any intellectual property or privacy right

10 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Pasco County, Florida. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Notwithstanding the foregoing, NEXT reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

11 Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we may provide additional notice such as an in-site banner or email notification.

Your continued use of the Site after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, please discontinue use of the Site.
